Virginia Electric and Power Company Sets Meeting

RICHMOND, Va. – Virginia Electric and Power Company, a wholly owned subsidiary of Dominion (NYSE: D), will hold a special meeting of its shareholders on December 12, 2001 at the law offices of McGuireWoods LLP, One James Center, 901 East Cary Street, Richmond, Virginia.

Proxies from all holders of all series of Virginia Electric and Power Company’s preferred stock as of November 9, 2001 are being solicited. The purpose of the meeting is to consider and amend Virginia Electric and Power Company's Articles of Incorporation to modify certain provisions related to 4 of its 13 series of outstanding preferred stock: the October 1988 Series Money Market Cumulative Preferred Stock; the June 1989 Series Money Market Cumulative Preferred Stock; the September 1992A Series Auction Market Preferred Stock; and the September 1992B Series Auction Market Preferred Stock.

Virginia Electric and Power Company also has announced its intention to redeem any remaining shares outstanding of its January 1987 Series Money Market Cumulative Preferred Stock on December 20, 2001 and its June 1987 Series Money Market Cumulative Preferred Stock on December 27, 2001. Each will be redeemed at par value plus accrued dividends.
