2014 Annual Meeting of Shareholders

The 2014 Annual Meeting of Shareholders will be held on Wednesday, May 7, 2014 at the InterContinental Cleveland Conference Center, 9801 Carnegie Avenue, Cleveland, Ohio  44106.

The meeting will begin at 9:30 a.m. Eastern Time. For directions and parking information for the 2014 Annual Meeting, click here. Only shareholders as of the March 21 record date may attend the Annual Meeting.

Information on Attending the Annual Meeting

We strongly encourage you to request an Admission Ticket by contacting Dominion Shareholder Services at 1-800-552-4034 or by e-mailing shareholder.services@dom.com. In order to expedite the registration process, shareholders who attend the meeting will be asked to present an Admission Ticket and valid picture identification, such as a driver’s license or passport. (Admission Tickets are not transferrable.)

If you do not request an Admission Ticket in advance, you must present a valid picture identification and proof of ownership of your Dominion shares as of the record date of March 21, 2014 to be admitted to the Annual Meeting. Proof of ownership can be any of the following: a Dominion account statement, a brokerage account statement or a letter from the bank or broker who holds your shares.

If you are a beneficial owner and plan to vote at the meeting, you must bring the legal proxy that was provided to you by the institution that holds your shares. If you are an authorized proxy, you must present the proper documentation. In all cases, valid photo identification is also required.

Cameras, cell phones, recording devices and other electronic devices will not be permitted at the meeting. Rules of the meeting will be printed on the back of the agenda that will be given to you at the meeting.

About the Notice Regarding the Availability of Proxy Materials

The Notice Regarding the Availability of Proxy Materials tells shareholders how to access and review the information contained in the proxy materials and how to vote via the Internet, by mail or in person. By utilizing this method of delivery, Dominion avoids the cost and environmental effect of printing proxy materials.

The Notice will contain:

  • A notice of the Annual Meeting of Shareholders;
  • A brief description of the items to be voted on at the Annual Meeting of Shareholders and the recommendation of Dominion’s Board of Directors with regard to each item;
  • The address of the website where the proxy materials will be made available and instructions on how to view them;
  • Instructions on how to request paper or email copies of the proxy materials; and
  • Instructions on how to vote over the Internet or how to vote in person at the Annual Meeting of Shareholders.

Importantly, the Notice Regarding the Availability of Proxy Materials will contain an 11-digit control number that you will need to access the proxy materials, to request paper or email copies of the proxy materials, and to vote your shares via the Internet. For this reason, we suggest that you retain the Notice through the date of the annual meeting.

The Notice Regarding the Availability of Proxy Materials will be made available to shareholders on or about March 26, 2014, or mailed to those shareholders who previously requested written materials.

Voting Your Proxy

Any shareholders who owned Dominion common stock at the close of business on March 21, 2014 may vote.

If you are a shareholder of record or a Dominion Employee Savings Plan participant, you may vote your proxy via the Internet at http://www.cesvote.com or by phone by calling 1-888-693-8683. In order to vote via the Internet or by phone, you will need the 11-digit control number that appears on the applicable Notice Regarding the Availability of Proxy Materials, proxy card or voter instruction card. If you are a beneficial owner, follow the instructions to vote via the Internet or by phone on the voting instruction form provided to you by the institution that holds your shares.

If you are a shareholder of record, you may vote your shares in person at the Annual Meeting.

If you are a beneficial owner of shares held in street name (i.e., your shares are held in a stock brokerage account or by a bank or other holder of record), you must present a valid picture identification and a legal proxy provided by the institution that holds your shares in order to vote in person at the Annual Meeting.

If your shares are held under one of the company’s Employee Savings Plans, only the Trustee for the Plans can vote your plan shares, even if you attend the meeting in person. To allow sufficient time for the Trustee to vote your shares, your voting instructions must be received by 6:00 a.m. Eastern Time, May 1, 2014.
